Terms of Use
1. Acceptance of These Terms
These Terms of Use (“Terms”) are a legally binding agreement between you and Hades Films, LLC, a Delaware limited liability company (“Hades,” “we,” “us,” or “our”). They govern your access to and use of www.hadesfilms.com, the official websites for our motion pictures, and every other website or online service owned, operated, or controlled by or for Hades or a Film Entity (defined below) that links to or displays these Terms (collectively, the “Sites”), together with all content, features, and services offered through them (collectively with the Sites, the “Services”).
By accessing or using the Services, or by clicking a button, checking a box, or taking any other action that references these Terms (for example, when you purchase tickets or sign up for updates), you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Services.
Certain features of the Services may be subject to additional terms, rules, or policies that are presented to you in connection with those features (“Additional Terms”). Additional Terms are incorporated into these Terms by reference. If there is a conflict between these Terms and any Additional Terms, the Additional Terms control with respect to the applicable feature, except that Section 18 (Dispute Resolution) controls over any conflicting Additional Terms unless those Additional Terms expressly state that they supersede Section 18.
2. Who We Are; Film Entities
Hades is a motion picture production and distribution company located at 9200 W. Sunset Blvd., Suite 1000, West Hollywood, California 90069. Individual motion pictures promoted through the Sites may be owned by separate companies that are affiliated with Hades (each such company, a “Film Entity”). The Film Entity that owns a particular motion picture may be identified in the copyright notice on that motion picture’s website. Hades operates the Sites on its own behalf and on behalf of the Film Entities.
Each Film Entity is an intended third-party beneficiary of these Terms and is entitled to rely on and enforce them, including the disclaimers, limitations of liability, indemnities, and Section 18. As used in these Terms, “Hades Parties” means Hades, the Film Entities, and each of their respective parents, subsidiaries, and affiliates, and each of their respective members, managers, officers, directors, employees, agents, licensors, and successors and assigns.
3. Eligibility
You must be at least eighteen (18) years of age to use the Services, and you must be of the age of majority in your place of residence to purchase tickets through the Services. By using the Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into these Terms. The Services are not directed to, and we do not knowingly collect personal information from, anyone under 18.
The Services are controlled and operated by Hades from the United States and are intended for users in the United States, Canada, and the United Kingdom. We make no representation that the Services or any Content (defined below) are appropriate or available for use in other locations. If you access the Services from any other location, you do so on your own initiative and are responsible for complying with local laws. We may limit the availability of the Services, in whole or in part, to any person, geographic area, or jurisdiction at any time.
4. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by updating the “Last Updated” date above and by any other reasonable means we choose, such as posting a notice on the Sites. Revised Terms become effective when posted unless we state otherwise. Your continued access to or use of the Services after revised Terms become effective constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Services. Changes to Section 18 are subject to Section 18(K).
5. Privacy
Our Privacy Policy describes how we collect, use, and disclose information about you when you use the Services, including when you purchase tickets, and the choices and rights you may have.
6. Ownership of Content; Limited License
The Services and all materials made available on or through them, including motion pictures, trailers, clips, stills, photographs, key art, posters, artwork, audio, music, text, graphics, logos, characters, software, and the design, selection, arrangement, and “look and feel” of the Sites (collectively, “Content”), are owned or controlled by the Hades Parties or their licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Content on a device you own or control solely for your personal, non-commercial entertainment purposes, and to use any sharing features we make available solely as those features are intended to be used. Except as expressly permitted in these Terms, you may not copy, reproduce, record, download, modify, create derivative works from, distribute, publicly perform, publicly display, broadcast, transmit, sell, license, or otherwise exploit any Content without our prior written consent (or the consent of the applicable owner). You may not remove, alter, or obscure any copyright, trademark, or other proprietary notice on any Content. All rights not expressly granted to you in these Terms are reserved by the Hades Parties and their licensors.
7. Trademarks
HADES FILMS, the titles of our motion pictures, and all related names, logos, key art, taglines, and trade dress are trademarks or service marks of Hades or the applicable Film Entity. Other trademarks appearing on the Services belong to their respective owners. You may not use any of these marks without the prior written permission of the applicable owner, including in any manner that suggests sponsorship, endorsement, or affiliation.
8. Prohibited Conduct
You agree that you will not, and will not assist or permit anyone else to:
- use the Services for any unlawful, fraudulent, or harmful purpose, or in violation of these Terms;
- infringe, misappropriate, or violate any intellectual property, privacy, publicity, or other right of any Hades Party or any third party;
- record, capture, rip, download (except through a download feature we provide), or redistribute any Content;
- circumvent, disable, or interfere with any access control, security feature, or other technical protection measure;
- use any robot, spider, crawler, scraper, or other automated means to access, monitor, copy, or collect data from the Services;
- use any Content or any part of the Services to develop, train, fine-tune, or improve any artificial intelligence or machine learning model or system, or to create synthetic, digitally altered, or AI-generated images, audio, or video of any of our films, characters, performers, or other talent;
- introduce any virus, malware, or other harmful code, or attempt to gain unauthorized access to, overload, or disrupt the Services or any related system or network;
- impersonate any person or entity, or provide false or misleading information;
- purchase tickets through the Services for the purpose of resale, or use bots or other automated means to purchase tickets; or
- use the Services in any manner that suggests an unauthorized association with, or endorsement by, any Hades Party.
9. Ticket Purchases
The Sites may allow you to find showtimes and purchase tickets to see our motion pictures. Ticket purchases may be processed and fulfilled by third-party ticketing services, theaters, and their payment processors (collectively, “Ticketing Partners”), either through a ticketing feature on the Sites or on a Ticketing Partner’s own website or app. When you purchase tickets:
- your purchase is also subject to the terms and policies of the applicable Ticketing Partner and theater, including their prices, fees, refund, exchange, and cancellation policies;
- payment for your tickets is processed by the Ticketing Partner or its payment processor, and the Ticketing Partner or theater is responsible for delivering your tickets and for customer service, refunds, and exchanges relating to your order, including any refund or cancellation rights that apply to your purchase under the laws of your place of residence;
- prices may be displayed in local currency and may include or exclude applicable taxes (such as sales tax, VAT, GST, HST, or QST), as stated by the Ticketing Partner;
- showtimes, theater locations, seat availability, and prices are provided by Ticketing Partners and theaters and are subject to change, and the Hades Parties are not responsible for any errors in that information;
- theaters may enforce their own rules, including rating-based age restrictions and identification requirements; and
- recording any portion of a motion picture in a theater is strictly prohibited and may violate U.S. federal law (including 18 U.S.C. § 2319B), U.S. state law (including California Penal Code § 653z), and the laws of other countries (including section 432 of the Criminal Code of Canada and the UK Copyright, Designs and Patents Act 1988).
The Hades Parties are not responsible for the acts or omissions of any Ticketing Partner or theater, or for any cancellation, rescheduling, or change to any showing. Information you provide when you purchase tickets is handled as described in our Privacy Policy and in the privacy policies of the applicable Ticketing Partner and theater.
10. Communications
By using the Services, you consent to receive communications from us electronically, including by email and through notices posted on the Sites, and you agree that such communications satisfy any legal requirement that they be in writing. If you choose to receive marketing emails from us, you may unsubscribe at any time by using the “unsubscribe” link in any marketing email. We or our Ticketing Partners may send you transactional messages relating to your ticket purchase.
11. Third-Party Services and Links
The Services may contain links to, or features provided by, third parties, including Ticketing Partners, theaters, streaming and digital retailers, video players, social media platforms, and advertisers (collectively, “Third-Party Services”). The Hades Parties do not control and are not responsible for any Third-Party Service, including its content, products, services, availability, security, or privacy practices, and a link to a Third-Party Service does not imply our endorsement. Your use of any Third-Party Service is at your own risk and is governed by that third party’s terms and policies.
12. Unsolicited Ideas and Materials
Hades does not accept or consider unsolicited ideas, stories, screenplays, treatments, pitches, formats, artwork, music, or other creative materials for motion pictures, television programs, or other projects (“Unsolicited Materials”). Please do not send us Unsolicited Materials through the Services or otherwise.
If you send us Unsolicited Materials despite this policy, you agree that: (a) the Unsolicited Materials are not confidential or proprietary, and no confidential, fiduciary, or implied-in-fact or implied-in-law contractual relationship is created between you and any Hades Party; (b) the Hades Parties have no obligation to review, return, or compensate you for the Unsolicited Materials; (c) the Hades Parties may already have, or may independently develop or acquire, projects that are similar to the Unsolicited Materials, and nothing will restrict any Hades Party’s right to do so; and (d) you grant the Hades Parties a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit the Unsolicited Materials in any media now known or later developed. To the maximum extent permitted by law, you waive and release any claim against the Hades Parties arising out of or relating to the use of any Unsolicited Materials. Our receipt of Unsolicited Materials is not an admission of their novelty, originality, or priority.
13. Copyright Complaints
We respect the intellectual property rights of others. If you believe that material available on the Services infringes your copyright, please send a written notice to legal@hadesfilms.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing and information reasonably sufficient to permit us to locate it; (d) your name, address, telephone number, and email address; (e) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner’s behalf.
14. Disclaimers
THE SERVICES AND ALL CONTENT AND OTHER MATERIALS AVAILABLE ON OR THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE HADES PARTIES DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE HADES PARTIES DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. RELEASE DATES, SHOWTIMES, AVAILABILITY, AND OTHER INFORMATION ON THE SERVICES ARE SUBJECT TO CHANGE WITHOUT NOTICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL ANY HADES PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE TOTAL AGGREGATE LIABILITY OF THE HADES PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID TO US, IF ANY, FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (US $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR FRAUD.
16. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Hades Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Services; (b) your breach of these Terms; or (c) your violation of any law or of the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that matter.
17. Limitation on Equitable Relief
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IF YOU HAVE ANY CLAIM AGAINST ANY HADES PARTY ARISING OUT OF OR RELATING TO THE SERVICES, CONTENT, UNSOLICITED MATERIALS, OR THESE TERMS, YOUR RIGHTS AND REMEDIES WILL BE LIMITED TO THE RECOVERY OF MONEY DAMAGES, IF ANY, AND YOU WILL NOT BE ENTITLED TO ENJOIN OR OTHERWISE RESTRAIN THE DEVELOPMENT, PRODUCTION, DISTRIBUTION, EXHIBITION, ADVERTISING, OR OTHER EXPLOITATION OF ANY MOTION PICTURE, PROGRAM, WEBSITE, CONTENT, OR OTHER PROPERTY OWNED, CONTROLLED, OR LICENSED BY ANY HADES PARTY. THIS SECTION DOES NOT LIMIT ANY RIGHT TO SEEK PUBLIC INJUNCTIVE RELIEF AS DESCRIBED IN SECTION 18(H).
18. Dispute Resolution: Binding Individual Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
(A) Informal Dispute Resolution. Before either party begins an arbitration or a small claims court action, the party asserting a claim must first send the other party a written notice of the dispute (“Notice of Dispute”). Your Notice of Dispute must be sent by email to legal@hadesfilms.com with a copy by mail to Hades Films, LLC, Attn: Legal Department, 9200 W. Sunset Blvd., Suite 1000, West Hollywood, CA 90069. Our Notice of Dispute will be sent to the email address or mailing address we have on file for you. A Notice of Dispute must include the claimant’s name, mailing address, and the email address associated with the claimant’s use of the Services; a description of the nature and basis of the claim; and the specific relief sought. A Notice of Dispute sent by you must be personally signed by you (and by your attorney, if you are represented). Within sixty (60) days after the Notice of Dispute is received, the parties agree to participate in good faith in an individualized telephone or video conference in an effort to resolve the dispute informally. You may be accompanied by your attorney at that conference. All applicable statutes of limitations and filing-fee deadlines will be tolled from the date a complete Notice of Dispute is received until the end of that sixty (60) day period. Compliance with this Section 18(A) is a condition precedent to starting an arbitration or small claims action, and a court may enjoin the filing or prosecution of any arbitration or action that does not comply.
(B) Agreement to Arbitrate. Except as provided in Section 18(C), you and Hades agree that any and all disputes, claims, or controversies of any kind between you and any Hades Party arising out of or relating in any way to these Terms, the Services, any Content, any ticket purchase, any communication from or to us, or the collection, use, or disclosure of information about you, whether based in contract, tort, statute (including, without limitation, federal and state consumer protection, privacy, wiretapping, video privacy, and telephone consumer protection statutes), fraud, misrepresentation, or any other legal theory, and whether arising before or after you agreed to these Terms (each, a “Dispute”), will be resolved exclusively by final and binding arbitration on an individual basis. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (“FAA”), and is intended to be interpreted as broadly as the law allows.
(C) Exceptions. Notwithstanding Section 18(B): (1) either party may bring an individual action in small claims court if the claim qualifies and remains in that court on an individual (non-class, non-representative) basis; (2) either party may bring an action in court for infringement, misappropriation, or other violation of that party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights, and may seek injunctive relief in court for such claims; and (3) claims for public injunctive relief will be handled as described in Section 18(H).
(D) Delegation. The arbitrator will have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability, scope, and formation of this agreement to arbitrate, including any claim that all or part of it is void or voidable or unconscionable, except that a court of competent jurisdiction will decide: (1) any issue relating to the enforceability, scope, or application of Section 18(G) (Class Action Waiver), Section 18(H) (Public Injunctive Relief), or Section 18(I) (Mass Filings); and (2) whether a party has complied with Section 18(A) (Informal Dispute Resolution).
(E) Arbitration Rules and Procedures. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules, as modified by these Terms (the “AAA Rules”). The AAA Rules are available at www.adr.org. If the AAA is unavailable or unwilling to administer the arbitration, the arbitration will be administered by JAMS under its applicable consumer and mass arbitration rules and procedures, and if JAMS is also unavailable, the parties will agree on a substitute administrator or, failing agreement, a court will appoint one. The arbitration will be conducted by a single neutral arbitrator who is a retired judge or an attorney with at least ten (10) years of experience. If the amount in controversy is US $25,000 or less, the arbitration will be conducted solely on the basis of written submissions unless the claimant requests a hearing or the arbitrator determines that a hearing is necessary. Any hearing will take place by video conference or, if either party requests an in-person hearing, in the county where you reside or in Los Angeles County, California, at your election. The arbitrator will apply applicable substantive law and these Terms, may award any individual relief that a court could award on an individual basis, and will issue a reasoned written decision. Judgment on the award may be entered in any court of competent jurisdiction.
(F) Arbitration Costs. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, except that if you demonstrate that the costs of arbitration would be prohibitive compared to the costs of litigation in court, we will pay as much of those fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. Each party will bear its own attorneys’ fees and costs unless applicable law or the AAA Rules provide otherwise, or unless the arbitrator determines that a claim or defense was frivolous or brought for an improper purpose under the standards of Federal Rule of Civil Procedure 11(b).
(G) CLASS ACTION WAIVER. YOU AND HADES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, OR AS A PRIVATE ATTORNEY GENERAL. UNLESS BOTH PARTIES AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS (EXCEPT AS PROVIDED IN SECTION 18(I)) AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY’S INDIVIDUAL CLAIM. If a court finally determines, after all appeals, that this Class Action Waiver is unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) will be severed from the arbitration and must be litigated in the courts identified in Section 19, and all other claims will be arbitrated on an individual basis. In no event will any claim proceed as a class arbitration.
(H) Public Injunctive Relief. Nothing in this Section 18 prevents you from seeking public injunctive relief to the extent such relief is available and cannot be waived under applicable law. Any claim for public injunctive relief will be severed from the arbitration and brought in the courts identified in Section 19, and will be stayed until all individual claims and requests for individual relief have been resolved in arbitration. The arbitrator’s decision on the individual claims will be given preclusive effect to the extent permitted by law.
(I) Mass Filings. If twenty-five (25) or more Notices of Dispute or demands for arbitration raising substantially similar claims are submitted by or with the assistance of the same or coordinated counsel or organizations (a “Mass Filing”): (1) Section 18(A) applies to each claimant individually; (2) the demands will be administered under the AAA’s Mass Arbitration Supplementary Rules (or the comparable mass arbitration rules or procedures of any substitute administrator); (3) the parties agree to cooperate in good faith with the administrator to implement a process that promotes the efficient resolution of the claims, which may include the batching of demands and the use of a process arbitrator; and (4) all applicable statutes of limitations will be tolled for each claim in the Mass Filing from the date its complete Notice of Dispute is received until the claim is administered. A court of competent jurisdiction will have authority to enforce this Section 18(I).
(J) 30-Day Right to Opt Out. You may opt out of this agreement to arbitrate by sending an email to legal@hadesfilms.com with the subject line “Arbitration Opt-Out” within thirty (30) days after you first accept these Terms. Your email must include your full name, mailing address, the email address associated with your use of the Services, and a clear statement that you wish to opt out of arbitration. If you opt out, Disputes between you and Hades will be resolved in the courts identified in Section 19. Opting out of arbitration will not affect any other provision of these Terms or any other arbitration agreement you may have with us.
(K) Changes to This Section. If we make any material change to this Section 18 (other than a change to our notice address), you may reject the change by sending us an email at legal@hadesfilms.com within thirty (30) days after the change is posted, in which case the version of this Section 18 in effect immediately before the change will continue to apply to you. A change to this Section 18 will not apply to any Dispute of which a party provided a Notice of Dispute before the change became effective.
(L) JURY TRIAL WAIVER. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HADES EACH WAIVE THE RIGHT TO A JURY TRIAL.
(M) Severability and Survival. Except as provided in Section 18(G), if any part of this Section 18 is found to be unenforceable, that part will be severed and the remainder of this Section 18 will be enforced. This Section 18 survives the termination of these Terms and of your use of the Services.
19. Governing Law and Venue
Subject to Section 20, the FAA governs the interpretation and enforcement of Section 18. Otherwise, these Terms and any Dispute will be governed by the laws of the State of California, without regard to its conflict-of-law principles. To the extent any Dispute is not subject to arbitration (including if you opt out under Section 18(J)), you and Hades agree to submit to the exclusive jurisdiction of, and venue in, the state and federal courts located in Los Angeles County, California, and waive any objection to those courts based on personal jurisdiction, venue, or inconvenient forum.
20. Users Outside the United States
If you are a consumer who resides in Canada, the United Kingdom, the European Economic Area, Switzerland, or another jurisdiction whose mandatory consumer protection laws so require:
- Section 18 (Dispute Resolution) applies to you only to the extent permitted by the laws of your place of residence. Where those laws prohibit or limit pre-dispute arbitration agreements or class action waivers in consumer contracts (for example, in Québec and Ontario, and in the United Kingdom for claims below the monetary limit set by law), Section 18 does not apply to the affected claims, and you may bring those claims in the courts of your place of residence;
- the choice of California law in Section 19 does not deprive you of the protection of any mandatory provision of the law of your place of residence, and the choice of venue in Section 19 does not prevent you from bringing proceedings in the courts of your place of residence where applicable law gives you that right;
- nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law; and
- nothing in these Terms affects your statutory rights as a consumer.
21. Accessibility
We want everyone to be able to use the Services. We aim to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA and test our pages periodically. Accessibility is an ongoing effort, and content or features provided by third parties, including ticketing services and embedded players, may not yet meet that standard. If you have difficulty using any part of the Services, or need information in an alternative format, contact us at accessibility@hadesfilms.com and we will respond within five business days and work with you to provide the information or service another way.
22. Suspension and Termination
We may suspend or terminate your access to all or part of the Services, or modify or discontinue any part of the Services, at any time, for any reason or no reason, with or without notice, and without liability to you. Any provision of these Terms that by its nature should survive termination will survive, including Sections 6 through 8 and 11 through 24.
23. General Terms
These Terms, together with our Privacy Policy and any applicable Additional Terms, are the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings regarding their subject matter. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including to any Film Entity or to any acquirer of all or part of our business or of the rights in any motion picture. Our failure to enforce any provision is not a waiver of our right to do so later. Except as provided in Section 18, if any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. We will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control. Headings are for convenience only, and the word “including” means “including without limitation.”
24. Notice to California Users
Under California Civil Code § 1789.3, California users are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N-112, Sacramento, California 95834, or by telephone at (800) 952-5210.
